Do Tax Rates Affect Corporate Social Responsibility? A Natural Experiment From Corporate Tax Rate Changes

Get access Abstract This study examines how changes in state corporate tax rates affect corporate social responsibility (CSR) performance among U.S. firms. Using staggered state-level tax reforms and a difference-in-differences (DiD) design, we identify an asymmetric causal effect: tax cuts significantly enhance CSR performance by reducing concerns, whereas tax increases only marginally weaken CSR strengths. Drawing primarily on signaling theory, complemented by slack resource and stakeholder perspectives, we argue that tax cuts expand financial slack, enabling firms to use CSR as a positive signal of financial strength, long-term orientation, and responsible use of tax savings. In contrast, firms avoid cutting CSR significantly after tax hikes to prevent negative signaling. In support of the theories, our heterogeneity analyses show that these effects are stronger among financially constrained firms and are concentrated in material CSR issues that are financially relevant to investors. A domain-level analysis further reveals that tax increases reduce environmental strengths, while tax cuts lower concerns related to employee relations, diversity, and environmental practices. These findings highlight how tax policy shapes CSR through its impact on financial flexibility and stakeholder expectation, offering implications for corporate strategy and public policy.

A Helping Hand, but not a Lift. EU Cohesion Policy and Regional Development

Abstract
This study provides new evidence on the impact of the EU Cohesion Policy on income growth in less developed regions. Our panel includes data from all European regions for the years 1989-2020. Using a fuzzy Regression Discontinuity Design, we model treatment dynamics by applying a random effects estimator. Based on digitized historical data, we precisely replicate the policy rule and correctly classify the regions’ eligibility status. Results show that the policy has a moderate positive effect on GDP per capita growth in the targeted regions.

Poison Bonds

Abstract
This paper documents the rise of “poison bonds”, which are corporate bonds that allow bondholders to demand immediate repayment in a change-of-control event. The share of poison bonds among new issues has grown substantially in recent years, from below 20% in the 90s to over 60% since mid-2000s. This increase is predominantly driven by investment-grade issues. We provide causal evidence that the pressure to eliminate poison pills has led firms to issue poison bonds as an alternative. Our analysis suggests that this practice entrenches incumbent managers and destroys shareholder value. Holding a portfolio of firms that remove poison pills but promptly issue poison bonds results in negative abnormal returns of −7.3% per year. Our findings have important implications for the agency theory of debt: (i) more debt may not discipline the management; and (ii) even without financial distress, managerial entrenchment can lead to agency conflicts between shareholders and creditors.
